1. Acceptance & Who We Are
Conjure (“Conjure”, “we”, “us”, or “our”) is an online marketplace where users generate apparel designs with artificial intelligence, publish those designs as made-to-order products, and buy products published by others. Conjure is operated from the Province of Ontario, Canada by [Registered entity & mailing address — to be added upon incorporation]. These Terms of Service (the “Terms”) form a legally binding agreement between you and Conjure governing your access to and use of our website at shopconjure.com, our applications, and all related services (together, the “Service”). By creating an account, generating a design, placing an order, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service.
2. Eligibility
You must be at least 18 years of age and the age of majority in the Province of Ontario to use the Service. By using the Service you represent and warrant that you meet this requirement, that the information you provide is accurate and complete, and that you have the legal capacity to enter into a binding contract. You are responsible for all activity that occurs under your account and for keeping your login credentials secure. Notify us promptly at support@shopconjure.com if you suspect any unauthorized use of your account.
3. The Service
Conjure lets you describe a concept and uses third-party AI image-generation technology (currently OpenAI’s GPT Image models) to produce textile and apparel design imagery. You may refine those designs, publish them to the marketplace, and offer them as physical products. All products are manufactured on demand: there is no inventory, and each item is printed and assembled only after a customer places an order, through our print-on-demand fulfillment partner (currently Printful). Hosting and data storage are provided through Vercel and Supabase, payments are processed through Stripe, transactional email is sent through Resend, and product analytics are collected through PostHog. We may change, add, or remove features, providers, or portions of the Service at any time. AI output can be unpredictable and may not perfectly match your prompt; we do not warrant that generated imagery will meet your expectations.
4. Creator Content, Ownership & License Grant
“Creator Content” means the prompts you submit and the designs, imagery, titles, and descriptions you create or publish on the Service. As between you and Conjure, you retain whatever ownership rights you have in your Creator Content. By publishing Creator Content, you grant Conjure a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, market, promote, manufacture, print, and fulfill products featuring that Creator Content, and to use it to operate, improve, and advertise the Service, for as long as your content remains published and for a reasonable period afterward to complete transactions and meet our legal obligations. You acknowledge that the copyright status and ownership of AI-generated output is legally unsettled and varies by jurisdiction, and that Conjure makes no representation that your Creator Content is protectable by copyright or that you hold exclusive rights in it. You represent and warrant that your Creator Content and prompts do not and will not infringe or violate any third-party copyright, trademark, trade dress, right of publicity, privacy right, or other right, and that you have all rights necessary to grant the license above.
5. Acceptable Use & Prohibited Content
You agree not to use the Service to generate, publish, sell, or distribute content that: infringes another party’s trademark, copyright, or other intellectual property; depicts or exploits the name, image, voice, or likeness of a real, identifiable person without authorization; is unlawful, defamatory, harassing, hateful, or discriminatory; is sexually explicit, depicts minors, or is otherwise obscene; promotes violence, terrorism, self-harm, or illegal activity; or is fraudulent, deceptive, or malicious. You also agree not to attempt to circumvent our moderation systems, reverse-engineer the Service, scrape or harvest data, or interfere with its security or operation. We screen prompts and designs and may, at our sole discretion and without notice, refuse a generation request, remove or delist content, withhold or reverse accrued credit, and suspend or terminate accounts that we believe violate these Terms.
6. Intellectual Property Complaints & Notice-and-Takedown
We respect the intellectual property rights of others and expect our users to do the same. If you believe content on the Service infringes your rights, send a written notice to support@shopconjure.com that includes: your contact information; identification of the work or right you claim is infringed; identification of the specific content and its location (such as a product URL); a statement that you have a good-faith belief the use is not authorized; a statement, made under penalty of applicable law, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf; and your physical or electronic signature. We will review valid notices and may remove or disable access to the content. The affected user may submit a counter-notice to the same address contesting the removal, and we may restore content where appropriate. We maintain a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.
7. Creator Royalties & Payouts
When a product featuring your published design sells, you earn a royalty equal to 10% of the margin on that sale (the margin is the sale price net of manufacturing, fulfillment, shipping, payment-processing, and related costs). At launch, royalties accrue as credit in your Conjure account: cash distributions and withdrawals are not yet enabled. Credit accrues now and becomes withdrawable once Conjure opens creator payouts, at which point withdrawals may be processed through our payment provider (Stripe Connect) and may be subject to identity verification, minimum withdrawal thresholds, currency conversion, and processing timelines. All royalties, credit balances, prices, and payouts are denominated in Canadian dollars (CAD). Any earnings figures shown in the product are estimates for illustration only and are not a promise or guarantee of actual earnings. You are solely responsible for determining, reporting, and remitting any taxes that apply to your earnings, and Conjure may withhold amounts or request tax information where required by law.
8. Orders, Fulfillment, Shipping, Returns & Refunds
Every product on Conjure is made to order through our print-on-demand partner (Printful), which means it is produced specifically for you after you purchase it. Production and delivery dates shown at checkout are good-faith estimates and are not guaranteed; actual timelines depend on the manufacturer and carrier. Because items are custom-made, all sales are final and returns or exchanges are not available for reasons of fit, size, wrong item chosen, change of mind, or other buyer error. An order may be cancellable only within a short window after purchase and before it enters production; once production has begun, an order can no longer be changed or cancelled. Refunds are available only when Printful refunds us for the item. Printful issues refunds or replacements only for items that arrive defective, damaged, or materially misprinted, or for packages confirmed lost in transit — and only when you provide the proof Printful requires, which is typically clear photos of the whole defect/damage submitted within 30 days of delivery (or of the estimated delivery date for a lost package). Printful does not refund for wrong size, wrong item selected, change of mind, or fit. Accordingly, you may receive a refund from Conjure only if (a) Printful has authorized and issued the corresponding refund or replacement to us, and (b) you supplied the required proof within Printful’s time limits. We pass a refund through to you once we receive it from Printful. You are responsible for providing a complete and accurate shipping address, including any apartment, unit, suite, or buzzer number, and a phone number the carrier can use to reach you. If a package is lost, delayed, or returned because the address you provided was incomplete or incorrect, that loss is not our responsibility and is not eligible for a refund or replacement. Where you provided a complete and accurate address and the carrier confirms the package lost in transit, you may be eligible for a refund at our discretion, subject to the Printful proof and time-limit conditions above. To start a claim, contact support@shopconjure.com (or use our support form) with your order number and photos as soon as possible after delivery.
9. Pricing & Payments
All prices are displayed and charged in Canadian dollars (CAD) and are shown before you confirm an order. Payments are processed by Stripe, and your payment is also subject to Stripe’s terms and privacy practices; we do not store full payment-card details. Applicable taxes, customs duties, and import fees may be added at checkout or charged by authorities on delivery and are your responsibility unless stated otherwise. You agree to provide current, complete, and accurate payment information and authorize us and our payment processor to charge your selected payment method for your order. We reserve the right to correct pricing errors, refuse or cancel orders, and recover amounts owed. If you initiate a chargeback or payment dispute without first contacting us, we may suspend your account and contest the dispute; fraudulent or abusive chargebacks may result in termination.
10. Disclaimers
The Service and all content, designs, AI output, and products are provided on an “as is” and “as available” basis, without warranties or conditions of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, secure, or error-free, that AI-generated designs will be accurate, original, or non-infringing, or that any product will meet your expectations. Nothing in these Terms excludes or limits any rights or remedies you may have under applicable Canadian consumer protection law that cannot lawfully be excluded or limited.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Conjure and its affiliates, officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of the total amounts you paid to Conjure in the three (3) months immediately preceding the event giving rise to the claim, or fifty Canadian dollars (CAD $50). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless Conjure and its affiliates, officers, directors, employees, and agents from and against any claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: your Creator Content or prompts; your use or misuse of the Service; your violation of these Terms or any applicable law; or your infringement of any third party’s intellectual property, publicity, privacy, or other rights. We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us.
13. Suspension & Termination
You may stop using the Service and close your account at any time. We may suspend, restrict, or terminate your access to the Service, remove your content, and withhold or reverse accrued credit, at any time and without prior notice, if we believe you have violated these Terms or applicable law, created risk or legal exposure for Conjure or others, or engaged in fraudulent or abusive conduct. Upon termination, the licenses you granted for content needed to complete pending transactions and meet our legal obligations survive, along with any provisions of these Terms that by their nature should survive, including ownership, disclaimers, limitation of liability, indemnification, and governing law.
14. Governing Law & Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You and Conjure agree to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada, and you consent to venue in those courts, subject to any mandatory consumer-protection rights that entitle you to bring proceedings in your place of residence. Before filing any claim, you agree to first contact us at support@shopconjure.com so we can try to resolve the matter informally.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and may provide additional notice through the Service or by email. Changes take effect when posted unless stated otherwise, and your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
